Public offer agreement

1. General Provisions

1.1. This document, addressed to an indefinite circle of persons, is a Public Offer (proposal) of LIMITED LIABILITY COMPANY “KSIMEX-ELECTRO” (hereinafter – the Seller) to conclude an electronic distance sales contract for Goods via the Internet store.

1.2. In accordance with Articles 633, 641, 642 of the Civil Code of Ukraine, the full and unconditional acceptance of the terms of this Offer, confirming the conclusion of the contract, shall be the fact of the Buyer confirming the order on the Internet store website.

1.3. Terms and definitions:

  • Internet store: The Seller’s website located at https: ksimex-electro.com.ua, created for concluding Goods purchase agreements (hereinafter also referred to as the “Site”). 
  • Seller: LLC “KSIMEX-ELECTRO” (a legal entity selling Goods). 
  • Buyer: An individual, legal entity, or sole proprietor who places an Order in the Internet store and concludes this Agreement with the Seller. 
  • Goods: Electrical products, fittings, components, accessories, cable and wire products, and other items offered for sale on the website. 
  • Order: Selected Goods items chosen by the Buyer from the assortment, confirmed and placed on the website. 

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods specified in the Order to the Buyer, and the Buyer undertakes to accept and pay for the Goods in accordance with this Agreement.

2.2. Based on the Order, the Seller sells and delivers the Goods according to the current price list published on the Internet store website.

2.3. Photographs and descriptions/specifications accompanying the Goods on the website are illustrative and may differ from the actual appearance of the Goods (e.g., due to different monitor color rendering). For complete information, the Buyer should contact the Seller before placing an Order. By confirming the Order, the Buyer confirms that they have reviewed all technical specifications provided in the product card (description) on the website.

2.4. Sale and delivery of Goods are carried out only within the territory of Ukraine, taking into account carrier restrictions in areas of active hostilities. Delivery is not made to temporarily occupied territories of Ukraine or areas without branches of the carrier “Nova Poshta”.

3. Order Placement Procedure, Availability and Price of Goods

3.1. Order placement. The Buyer independently places an Order for any Goods available on the website (in stock or on order) using the website functionality.

3.2. Placing an Order constitutes an offer to conclude an electronic contract in accordance with the Law of Ukraine “On Electronic Commerce”.

3.3. After placing an Order, the Buyer receives an automatic confirmation via email or in the user account.

3.4. The Seller stores Order information in an electronic system ensuring reproduction of the Order content.

3.5. Goods availability. All Orders are accepted subject to availability of Goods in the Seller’s warehouse or marked “on order” with an estimated delivery time. The Buyer agrees that by confirming an Order for Goods not currently in stock, they accept possible changes in delivery times due to circumstances beyond the Seller’s control.

Actions in case of unavailability:

  •  The Seller’s sales manager informs the Buyer (by phone or email). 
  •  The Buyer may replace the unavailable item, refuse it, or cancel the Order. 
  •  If a prepaid Order is fully or partially canceled, the corresponding amount is refunded. 

3.6. Price of Goods. The price is the one indicated on the website at the time of Order placement. Prices include taxes (including VAT, if applicable) and exclude delivery costs unless otherwise stated.

4. Payment and Delivery

4.1. Payment procedure. The Buyer pays for the Order by bank transfer or card payment. Payment processing is carried out via integrated services (Pay by Mono, LiqPay, etc.).

4.2. Payment moment. Payment is considered completed on the day funds are credited to the Seller’s account.

4.3. Additional costs. Payment system fees and delivery costs (if not included in free delivery terms) are paid by the Buyer.

4.4. Delivery conditions:

  •  Delivery is made to carrier warehouses or by courier upon agreement. 
  •  Delivery is performed after full payment and identification of the recipient. 
  •  Delivery times are defined by the carrier; the Seller informs the Buyer of delays exceeding 3 business days. 

4.5. Shipment insurance:

  •  All shipments are insured for the full value of the Goods stated in the invoice. 
  •  Returns must also be shipped at the Buyer’s expense and insured for full value. 

4.6. Risk transfer. Risk of accidental loss or damage transfers to the Buyer upon delivery of the Goods.

4.7. Acceptance of Goods. The Buyer must check completeness, packaging integrity, and external condition upon receipt.

**4.8. Claims for mechanical damage or missing components are accepted only at the time of receipt from the carrier.

4.9. In case of discrepancies, the Buyer must immediately contact the Seller.

5. Warranty and Returns

5.1. Warranty period. 12 months from receipt unless otherwise specified.

5.2. Quality. The Seller guarantees compliance with applicable standards and manufacturer specifications.

5.3. Returns (defective goods). The Buyer may request:

  •  contract termination and refund; 
  •  replacement of Goods. 

A return form must be completed. The Seller may request additional identification. If replacement is impossible, refund is made with a depreciation deduction of 5% per month of use.

5.4. Warranty limitations. Do not apply to damage caused by misuse, improper installation, unauthorized repair, external influences, etc.

5.5. Return of proper quality goods. Allowed within 14 days if unused, packaging preserved, and receipt provided.

5.6. Non-returnable goods include:

  •  custom-cut cable products; 
  •  individually configured products; 
  •  used or installed items; 
  •  oversized or custom-imported goods. 

5.7. Return costs. Paid by the Buyer. Refunds may be reduced by Seller’s expenses.

6. Liability and Force Majeure

6.1. Liability is limited to documented direct damages only.

6.2. Seller is not responsible for minor design or color variations.

6.3. Parties are exempt from liability in case of force majeure (war, disasters, etc.).

7. Confidentiality and Personal Data Protection

7.1. The Buyer consents to processing of personal data in accordance with Ukrainian law.

7.2. Data is used solely for order fulfillment and settlements.

7.3. Privacy policy is available separately on the website.

8. Other Conditions

8.1. Seller may unilaterally amend the Agreement.

8.2. Disputes are resolved through negotiation or under Ukrainian law.

8.3. Agreement is valid from acceptance until full fulfillment.

8.4. Seller may delegate fulfillment to third parties.

8.5. Ukrainian law applies where not regulated.

9. Claims Procedure

9.1. Claims are sent to: electro@ksimex.ua or postal address.

9.2. Must include:

  •  Buyer name; 
  •  order number; 
  •  description; 
  •  photos/videos (if available). 

9.3. Claims are reviewed within 30 days.

9.4. Extension possible if expert review is required.

10. Liability Limitations and Technical Errors

10.1. Seller is not responsible for website downtime or carrier failures.

10.2. Orders may be canceled in case of obvious technical errors.

10.3. Seller is not responsible for improper installation.
